Terms of Service

These Terms of Service are an agreement formed between you and Nex AI ("Nex," "Company," "we," or "us"), operated by Amplitude Labs. They cover the Nex AI web application available at nexai.app (the "Website") and any related services. In these Terms we'll sometimes refer to Amplitude Labs as "Nex," "Company," "we," or "us." We'll refer to our Website and any content, tools, features and functionality offered on or through it, as the "Services."

These Terms govern your access to and use of the Services. Please read them carefully, as they include important information about your legal rights. By accessing or using the Services, you're agreeing to these Terms. If you don't understand or agree to these Terms, please don't use the Services. For enterprise customers, these Terms are subject to the specific performance commitments, service level agreements (SLAs), and warranties defined in your executed Statement of Work (SOW).

In these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

NOTE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER.

By agreeing to these Terms, you agree to resolve all disputes with us through binding individual arbitration. That means you also waive any right to have those disputes decided by a judge or jury, and you waive your right to participate in class actions, class arbitrations, or representative actions. You have the right to opt out of arbitration as explained below.

Use of the Services

Your Registration Obligations

When you register to use the Services, you agree to provide accurate and complete information about yourself. If you are under 13 years old OR if you are an EU citizen or resident under 16 years old, do not sign up for the Services - you are not authorized to use them.

Member Account, Password and Security

You are responsible for maintaining the confidentiality of your password and account, and for all activities that occur under your password or account. You agree to immediately notify Nex AI of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session when accessing the Services. Nex AI will not be liable for any loss or damage arising from your failure to comply with this paragraph.

General Practices Regarding Use and Storage

You acknowledge that Nex AI may establish general practices and limits concerning use of the Services. These may include, without limitation, the maximum period of time that data or other content will be retained by the Services, the maximum storage space that will be allotted on Nex AI's servers on your behalf, the maximum number of compliance validations you may perform per day, the maximum character length of content you may submit, and cooldown periods between processing requests. You agree that Nex AI has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded to the Services. You acknowledge that Nex AI reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that Nex AI reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Email Notifications

You consent to receive notifications from us electronically to the e-mail address you provide to us. These notifications may be about your account, changes to our service, subscription updates, or other updates or marketing relating to our platform.

Conditions of Use

User Conduct

You agree to comply with the following conditions in using the Services.

You are solely responsible for all Content you submit to the Services. (When we say "Content you submit" and similar terms, we mean anything you seek to post, transmit, or share, including but not limited to text, images, information, or other data that you submit for validation or compliance checking.) You agree not to submit any Content that:

infringes any intellectual property or other proprietary rights of any party;
you do not have a right to submit;
contains software viruses or any computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
poses a privacy or security risk to any person;
constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other form of solicitation;
is threatening, abusive, harassing, tortious, bullying, or excessively violent;
is defamatory, libelous, or verifiably false with the purpose of harming others;
constitutes hate speech that demeans or promotes discrimination or violence on the basis of race, ethnicity, gender, religion, age, or other social, physical or mental characteristics;
is obscene or pornographic;
constitutes sexual harassment;
constitutes sexual exploitation or abuse of a minor, including sharing child sexual exploitation or abuse imagery or content, grooming, or sexual extortion;
glorifies self-harm, including self-injury, suicide, or eating disorders;
promotes terrorism or violent extremism;
furthers or promotes criminal activity;
seeks to buy or sell illegal drugs;
facilitates fully automated decision making that adversely impacts a person's legal rights or creates a binding, enforceable obligation;
seeks to provide medical, legal, financial or tax advice;
interferes with or disrupts the Services or servers or networks connected to the Services;
interferes with or appropriates any person's right of publicity by using their name, likeness or persona (a) without permission and (b) outside a permissible context such as non-commercial parody or public commentary; or
in the sole judgment of Nex AI, is objectionable or that restricts or inhibits any other person from using or enjoying the Services, or which may expose Nex AI or its users to any harm or liability.

You likewise agree not to do any of the following in connection with your use of the Services:

disobey any requirements, procedures, policies or regulations of networks connected to the Services;
violate any applicable law or regulation;
impersonate any person or entity, or misrepresent your affiliation with a person or entity;
solicit personal information from anyone under the age of 18;
harvest or collect email addresses or other contact information of other users from the Services by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
obtain or attempt to obtain any information through any means not intentionally made available or provided for through the Services;
lease, lend, sell or sublicense any part of the Services;
try to evade any technological measure designed to protect the Services or any technology associated with the Services, including but not limited to attempting to bypass usage limits, cooldown periods, or subscription restrictions;
reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any Services source code, in whole or in part;
use automated systems (including "bots," "spiders," or "offline readers") to access the Services in a manner that sends more request messages to Nex AI's servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser;
use the Services to generate content for the purpose of creating misinformation, disinformation, or content designed to deceive or mislead;
use the Services in any manner that could damage, disable, overburden, or impair any Nex AI server, or the network(s) connected to any Nex AI server, or interfere with any other party's use and enjoyment of the Services.

Intellectual Property Rights

Content You Submit

When you submit Content to the Services, you represent and warrant that you own all right, title and interest in and to that Content (including, without limitation, all copyrights and rights of publicity), or that you have received all necessary permissions, clearances, and authorizations in order to submit it to the Services for the uses contemplated in these Terms.

When you submit such Content, you retain whatever ownership rights in that Content you had to begin with. You grant Nex AI, to the fullest extent permitted under the law, a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, modify, exploit, commercialize and otherwise use the Content for any Nex AI-related purpose in any form, medium or technology now known or later developed, including without limitation to:

operate, improve and provide the Services;
train and improve our proactive compliance and fraud-detection algorithms;
calculate and validate compliance metrics and risk scores;
conduct research and development for our infrastructure systems;
aggregate and anonymize data for business intelligence and algorithm improvement.

Validated Output

When you use the Services to validate or process your Content, the resulting output ("Validated Content") is generated using artificial intelligence. As between you and Nex AI, you own all rights in the Validated Content that is generated from your Content.

You grant Nex AI, to the fullest extent permitted under the law, a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, access, modify, exploit, commercialize and otherwise use the Validated Content for any purpose in any form, medium or technology now known or later developed, including but not limited to operating, improving and providing the Services, training and improving our AI proactive compliance algorithms, and promoting the Services on- or off-platform.

Service Fees and Payments

Statement of Work (SOW)

The Services are provided as a professional compliance infrastructure solution. The specific scope of services, volume limits, implementation timelines, and fees are governed by a separate Statement of Work ("SOW") or Service Agreement executed between you and Amplitude Labs. These Terms of Service are incorporated into each SOW. In the event of a conflict between these Terms and an executed SOW, the SOW shall control with respect to that specific engagement.

No Free Plans or Public Trials

Nex AI does not offer free subscription tiers, "freemium" versions, or public self-service trials. All access to the Services requires a paid engagement as detailed in your specific SOW. Any demo access or sandbox evaluation period must be explicitly authorized in a signed SOW or pilot agreement.

Billing and Payment

Billing cycles, payment methods, and renewal terms are strictly defined in your SOW. Fees are typically billed in advance as outlined in the billing schedule of your agreement. Payments are processed via bank transfer or credit card as agreed upon.

Non-Refundable Fees

Except as expressly provided in an applicable SOW or required by mandatory law, all fees paid to Nex AI are non-refundable and non-cancellable.

Disclaimer of Warranty

Nex AI provides high-fidelity compliance infrastructure. Unless otherwise expressly provided in your SOW (including any applicable Performance Warranties or Service Level Agreements), the Services are provided on an "AS IS" and "AS AVAILABLE" basis. While Nex AI strives for 99%+ accuracy in its proactive compliance checks, Nex AI disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The specific availability, accuracy guarantees, and support commitments for your enterprise deployment are governed exclusively by your SOW. In the absence of such specific SOW commitments, Nex AI makes no warranty that:

the Services will be entirely uninterrupted or error-free;
the results obtained from the use of the Services will be 100% accurate in all regulatory jurisdictions;
any specific errors in the infrastructure will be corrected within a specific timeframe.

Limitation of Liability

You understand and agree that Nex AI will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or damages for loss of profits including but not limited to damages for loss of goodwill, use, data or other intangible losses (even if Nex AI has been advised of the possibility of such damages), whether based on contract, tort, negligence, strict liability or otherwise, resulting from:

the use or the inability to use the Services;
your access, use, creation of, or interaction with any Content or Validated Content;
your sharing with any third party of any Content or Validated Content;
unauthorized access to or alteration of your transmissions or data;
statements or conduct of any third party (including users) on the Services;
any errors or inaccuracies in Validated Content;
any failure of Validated Content to achieve desired outcomes;
any other matter relating to the Services.

In no event will Nex AI's total liability to you for all damages, losses or causes of action exceed the amount you paid Nex AI (if any) in connection with your use of the Services in the twelve (12) months preceding the claim.

Dispute Resolution By Binding Arbitration

Agreement to Arbitrate

You agree that any and all disputes or claims that have arisen or may arise between you and Nex AI, whether arising out of or relating to these Terms, the Website or Services, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify.

You agree that, by entering into these Terms, you and Nex AI are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Opt-Out Procedure

If you do not wish to be bound by the arbitration and class-action waiver provisions in this section, you must notify us in writing within 30 days of the date that you first accept these Terms. Your written notification must be mailed to our address and must include: (a) your name, (b) your postal address, (c) your email address, and (d) a clear statement that you do not wish to resolve disputes with us through arbitration.

Termination

You agree that Nex AI, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Services and remove and discard any content within the Services, for any reason, including, without limitation, for lack of use or if Nex AI believes that you have violated or acted inconsistently with the letter or spirit of these Terms.
